Store Policy

Elements Store Policy for Customers and Sellers.

1. Purpose

This page sets out the key policies governing your use of the Elements Store (the “Store”), your purchases of digital assets (the “Assets”) and our relationship. By using the Store, purchasing Assets, or interacting with the Store in any way, you agree to these policies. If you do not agree, do not use the Store.

2. License Agreement

2.1 Grant of License

Upon completion of a purchase of an Asset, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Asset in accordance with its specified license terms (which may differ between Assets). Ownership of the underlying copyright remains with us or the Asset creator.

2.2 Restrictions

Unless explicitly permitted for a specific Asset:

  • You may not redistribute, sublicense, resell, or make the Asset available for free or divisional use.

  • You may not use the Asset in a way that violates laws, third-party rights, or these policies.

  • You may not represent the Asset as your own original creation.

  • You may not use the Asset in products that are primarily intended for resale or in templates designed for resale, unless explicitly allowed.

2.3 Usage Scope

Your permitted use of the Asset is defined by the type of license purchased (e.g., personal use, commercial use, extended commercial). You must review and comply with the specific terms shown at the time of purchase. Any additional rights (e.g., unlimited print runs, merchandise, sublicensing) must be explicitly stated.

2.4 No Transfer of Ownership

Purchase of an Asset is purchase of a license, not of the underlying copyright or intellectual property rights. We retain all rights not expressly granted herein.

3. Contributor Agreement (for Sellers)

If you supply Assets to the Store, you agree to the following:

  • You grant us a non-exclusive, fully-paid, royalty-free license to reproduce, distribute, display publicly, modify, bundle, promote and sell the Assets through the Store and affiliated channels.

  • You warrant that you own the copyrights (or have legal rights) to the Asset, and that the Asset does not infringe any third-party rights.

  • You agree to comply with our submission guidelines, quality standards, review processes, and accept our right to reject or remove any Asset at our discretion.

  • You will indemnify us against any claims arising from your breach of these warranties.

  • Upon termination of this Agreement, your rights and our rights with respect to already-approved Assets sold remain as specified in this Agreement.

4. Pricing, Payment & Revenue Share

  • If you are a contributor/seller, you will receive payment on the basis and schedule we communicate (e.g., revenue share, payout thresholds).

  • We reserve the right to modify revenue share terms or suspend payments with notice for policy or legal reasons.

5. Refunds, Returns & Cancellations

  • Because Assets are delivered digitally and can be accessed immediately, refunds will be granted only in exceptional circumstances (e.g., faulty file).

  • If you believe you are eligible for a refund, contact us promptly and state the reason. We will evaluate case by case.

  • We reserve the right to deny refunds if we determine that the request is driven by misuse or policy violations.

6. Intellectual Property & Rights

  • All trademarks, service marks, logos, product names and company names on the Store are our or our licensors’ property.

  • You must not remove or modify any copyright, trademark, or other proprietary notices contained in any Asset.

  • If you become aware of any infringement of your rights or another party’s rights, you must notify us promptly.

7. Prohibited Conduct

You agree not to use the Store or Assets in any manner that:

  • Violates applicable law or regulation.

  • Infringes or misappropriates any third-party rights (including intellectual property, privacy or publicity rights).

  • Is misleading, deceptive, abusive, harassing, or otherwise objectionable.

  • Attempts to interfere with the operation of the Store, reverse engineer the underlying code, or breach our security measures.

8. Termination

  • We may suspend or terminate your access to the Store, your user account, or your rights under any license if you fail to comply with these policies or engage in prohibited conduct.

  • Upon termination, you must cease using any licensed Assets that exceed your permissible rights, and destroy or delete any unauthorised copies.

  • Termination does not affect accrued rights or obligations (e.g., payment owed, liability for past breaches) unless stated otherwise.

9. Disclaimer of Warranties & Limitation of Liability

  • Disclaimer: The Store and all Assets are provided “as is” without warranties of any kind, either express or implied (including fitness for a particular purpose, merchantability, non-infringement).

  • Limitation of Liability: To the fullest extent permitted by law, our total liability arising out of or in connection with your purchase or use of Assets or the Store will be limited to the amount you paid for the relevant Asset(s). In no event will we be liable for any indirect, incidental, consequential or punitive damages.

10. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any third-party claims, demands, liabilities, damages, losses, or expenses (including legal fees) arising from your breach of these policies, violation of law, or use of the Assets beyond the permitted license.

11. Governing Law & Dispute Resolution

  • These policies are governed by the laws of the United Kingdom.

  • You and we agree to submit to the exclusive jurisdiction of the courts of United Kingdom for any dispute arising from or related to these policies or your use of the Store.

12. Changes to These Policies

We may revise these policies at any time. We will post the updated version with a “Last updated” date. If you continue to use the Store or Assets after changes are posted, you are deemed to have accepted the revised policies. If you do not agree with the changes, you must stop using the Store and any licensed Assets subject to the new version.
